By creating an account, accessing our website, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. These Terms constitute a legally binding agreement between you and DaaX Technologies Inc.

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on our website and updating the "Updated" date at the top of this page. Your continued use of the Services after such modifications constitutes your acceptance of the modified Terms.

Description of Services

DaaX provides AI-powered federated search and data access solutions that enable natural language querying across multiple data sources. Our Services include, but are not limited to:

SQLer - Production-ready Natural Language-to-SQL (NL2SQL) agent for developers
FEDer - Orchestration and DaaX Neuro-Symbolic AI Engine for federated search
LUCENEer - Natural language querying for Elasticsearch and OpenSearch
KGer - knowledge graph creation and querying
LAKEer - 3D graph creation for data lakes/unstructured data
Developer dashboard and API access
Documentation and support resources

We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice, and without liability to you. We may enforce usage limits through throttling, overage charges, or required plan upgrades.

User Accounts and Registration

Account Creation

To access certain features of our Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with these security obligations.

Account Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease.

Acceptable Use Policy

You agree not to use our Services to:

Violate any applicable laws, regulations, or third-party rights
Transmit any harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable material
Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
Interfere with or disrupt the Services or servers or networks connected to the Services
Attempt to gain unauthorized access to any portion of the Services, other accounts, computer systems, or networks connected to the Services
Use any automated means, including robots, crawlers, or scrapers, to access the Services without our prior written permission
Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Services
Remove, circumvent, disable, damage, or otherwise interfere with security-related features of the Services
Use the Services to develop competing products or services
Attempt to extract or probe model behavior (prompt attacks)
Use the Services for deceptive or misleading purposes

Violation of this Acceptable Use Policy may result in immediate termination of your account and access to the Services.

Intellectual Property Rights

Our Intellectual Property

The Services, including all content, features, functionality, software, text, displays, images, video, audio, design, selection and arrangement, are owned by DaaX Technologies Inc., its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your business purposes in accordance with these Terms. This license does not include any right to resell or commercial use of the Services or their contents, any derivative use of the Services or their contents, or any use of data mining, robots, or similar data gathering and extraction tools.

Your Content

You retain all rights to any data, content, or materials you submit to or through the Services ("Your Content"). By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license solely to provide and maintain the Services. DaaX does NOT use Customer Data to train foundation models. Customer Data is deleted within seven (7) days post-termination. Backups are deleted within thirty (30) days post-termination.

You represent and warrant that you own or have the necessary rights to Your Content and that Your Content does not violate any third-party rights or applicable laws.

Payment and Billing

Fees

Certain features of our Services may require payment of fees. You agree to pay all applicable fees as described on our website or as otherwise agreed upon. All fees are non-refundable unless otherwise stated in these Terms or required by law.

Billing

If you subscribe to a paid plan, you authorize us to charge your payment method on a recurring basis for the applicable subscription fees. Your credit card will be charged at the beginning of each month for your subscription. You are responsible for providing accurate and current billing information. We reserve the right to suspend or terminate your access to paid features if payment is not received.

Subscription Renewal and Management

Your subscription will be automatically renewed at the end of each month.
You can cancel your subscription at any time in the Subscription tab in your Developer Dashboard. Cancellation takes effect at the end of your current billing month.
You can upgrade or downgrade your subscription at any time in the Subscription tab in your Developer Dashboard.

No refunds will be issued for the current billing month under any circumstances, including cancellation, downgrade, or non-use of the Services.

Price Changes

We reserve the right to modify our pricing at any time. We will provide you with reasonable notice of any price changes. Your continued use of the Services after a price change constitutes your acceptance of the new pricing.

Disclaimers and Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

DAAX TECHNOLOGIES INC. DOES NOT WARRANT THAT:

The Services will meet your requirements or expectations
The Services will be uninterrupted, timely, secure, or error-free
The results obtained from the use of the Services will be accurate or reliable
Any errors in the Services will be corrected

Any material downloaded or otherwise obtained through the use of the Services is accessed at your own discretion and risk, and you will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DAAX TECHNOLOGIES INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

Your access to or use of or inability to access or use the Services
Any conduct or content of any third party on the Services
Any content obtained from the Services
Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE PAST TWELVE MONTHS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

You agree to indemnify, defend, and hold harmless DaaX Technologies Inc., its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including but not limited to Your Content, any use of the Services other than as expressly authorized in these Terms, or your violation of any law or the rights of a third party.

The Services may contain links to third-party websites or services that are not owned or controlled by DaaX Technologies Inc. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services.

Confidentiality

Similarly, we agree to maintain the confidentiality of your proprietary information and data in accordance with our Privacy Policy and any applicable data processing agreements.

Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms. Upon termination, your right to use the Services will immediately cease.

You may terminate your account at any time by contacting us or by using the account termination features available in your account settings.

All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Dispute Resolution and Arbitration

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Santa Clara County, California, United States, before one arbitrator. The arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. To the full extent permitted by law, no arbitration or proceeding shall be joined with any other, no dispute shall be arbitrated on a class-action basis, and there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Services, constitute the entire agreement between you and DaaX Technologies Inc. regarding the Services and supersede all prior or contemporaneous understandings and agreements, whether written or oral, regarding the Services.

Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of DaaX Technologies Inc.

Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may freely assign or transfer these Terms. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties and their respective successors and permitted assigns.

Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
